Terms and Conditions

1. Definitions

StrategyOS: the trade name and SaaS platform operated by North Star Agency.
Platform: the web application accessible via app.strategyos.io.
User: any natural or legal person creating an account on the Platform.
Analysis: the AI-driven strategic output generated by the Platform.
Intellectual Property: all intellectual property rights, including copyrights, trademarks, and patents.

2. Applicability

These Terms and Conditions apply to all offers, services, and agreements of StrategyOS. The Platform is intended exclusively for business-to-business (B2B) use. Consumer protection laws do not apply. By creating an account, the User fully accepts these terms.

3. Registration and Account

To use the Platform, Users must create an account at app.strategyos.io. Users guarantee the accuracy of their registration information and are responsible for maintaining the confidentiality of login credentials. StrategyOS reserves the right to block accounts that violate these terms.

4. Services and Functionalities

StrategyOS provides an AI-driven business intelligence application. Analyses are informational and do not constitute professional legal, financial, or tax advice.

AI Acknowledgement: Users acknowledge that AI-generated output may contain inaccuracies or 'hallucinations'. Users are solely responsible for verifying and validating the accuracy of any Analysis before relying on it for business decisions.

Fair Use: Use is subject to rate limits to prevent system abuse.

5. Subscriptions and Payment

Subscriptions are paid in advance on a monthly or annual basis. Rate changes will be communicated 30 days in advance. StrategyOS reserves the right to suspend access in the event of late payment. Refunds are generally not issued unless required by law.

6. Free Account

Users may access the first module and its Analysis free of charge. Commercial resale of output generated via the Free Account is strictly prohibited without prior written consent.

7. User Obligations

Users are prohibited from entering misleading info, using the platform for unlawful purposes, or using automated systems to scrape the Platform. Specific restrictions apply:

Users must have the legal right to request analysis of submitted URLs/brands.
Generated output must not violate the Acceptable Use Policies of our underlying AI providers.
Users indemnify StrategyOS against third-party claims arising from their data retrieval requests.

8. Intellectual Property

StrategyOS owns all rights to the Platform, software, and design. Analyses generated based on User data are the property of the User. However, StrategyOS claims no ownership over third-party public data retrieved during scraping; the User is responsible for ensuring their use of such data does not infringe on third-party copyrights.

10. Liability

StrategyOS is not liable for indirect or consequential damages. Total liability for direct damages is limited to the amount paid by the User in the three months preceding the damage-causing event, up to a maximum of EUR 500.

11. Force Majeure

StrategyOS is not obliged to fulfill obligations if prevented by circumstances beyond reasonable control, including DDoS attacks, power outages, or pandemic measures.

14. Law and Jurisdiction

These Terms are governed by Dutch law. Disputes shall be submitted to the competent court in the Netherlands.

16. Data Processing Agreement (DPA)

This article serves as the GDPR-required DPA. StrategyOS acts as the Data Processor, and the User acts as the Data Controller.

We implement appropriate technical security security measures and engage sub-processors (like cloud hosting) under similar data protection obligations. Personal data is deleted within 30 days of account termination.
